Overview

This position is responsible for providing paralegal support to the Legal Department with a focus on providing support to executive level and other senior attorneys on transactional matters.

Responsibilities
  • Support all stages of corporate transactions including project management, drafting closing deliverables and organizing all aspects of closings and post-closing transactions.
  • Provide pro-active support services to attorneys driving efficient and effective legal services throughout the company
  • Support preparation of board and committee meeting minutes, resolutions and board books
  • Maintains all company subsidiaries with respect to filings, annual meetings and other legal and corporate formality requirements, including maintenance of corporate minute books and coordinate all director/officer appointments
  • Complete Know Your Customer ("KYC") requests with oversight of attorneys
  • Manages contract management and contract preparation
  • Provides support with the establishment and maintenance of branch offices
  • Supports drafting presentations, reports and special projects; prepare responses to material matters for signature
  • Maintain and keep current International and US and state filings
  • Drafts and manages Powers of Attorney
Job Requirements:
Qualifications
  • At least 4 years experience as a corporate legal department or law firm paralegal
  • Possess strong organizational and administrative skills
  • Strong ability to manage complex and varied workloads and to prioritize workloads
  • Undergraduate degree from a 4-year accredited institution and a strong academic background preferred
  • Must be able to maintain absolute confidentiality and discretion at all times
  • Proficiency in Microsoft Word, Excel, PowerPoint and Outlook
  • Excellent written and verbal communication skills
  • Flexibility with schedule
  • Ability to establish and maintain good working relationships with attorneys and other personnel

Salary Range: $105,000 - $127,500

Financial offer within the stated range will be based on multiple factors to include but not limited to location, relevant experience/level and skillset.
